If you own a D3xxx or D5xxx, the 55-200 will allow autofocus on your camera, the 70-200 won't.

Better for what? The 55-200mm is basically a portrait lens for shooting headshots to full bodies from a distance. The 70-300mm lens is more about making distant objects seem closer to you like in outdoor sports.
